Effective Date: These Terms and Conditions are effective as of the date of your first use of the Services and shall remain in effect for the duration of your use of the Services.
Welcome to EARN | Elite Agent Referral Network Inc. ("EARN," "we," "us," or "our"). These Terms and Conditions ("Terms") constitute a legally binding agreement between you (the "User") and EARN, governing your access to and use of our platform, including our website, mobile applications, and any other related interactions (collectively, the "Services"). By accessing or using the Services, you confirm your acceptance of these Terms. If you do not agree, you must refrain from using the Services.
1. Eligibility
1.1. To access and use the Services, you must meet the following criteria: a. Be at least 18 years of age. b. Hold an active and valid real estate license in good standing. c. Maintain a valid subscription and exclusive territory agreement with EARN.
1.2. By applying for and using the Services, you warrant and represent that you meet the above criteria and that the information provided during registration is accurate and complete.
2. Account Registration and Maintenance
2.1. Account Information: Users are required to furnish accurate, complete, and up-to-date information during the registration process. Any changes to the information provided must be promptly updated.
2.2. Security: Users are solely responsible for maintaining the confidentiality of their login credentials and for all activities conducted under their account. Any unauthorized access or suspected breach must be reported to EARN immediately.
2.3. Exclusive Territory: Membership confers exclusive rights to the designated geographic territory as outlined in the membership agreement. This exclusivity remains subject to timely renewal and adherence to these Terms. EARN reserves the right to change territory boundaries and exclusivity at its sole discretion at any time.
3. Scope of Services
3.1. EARN facilitates the connection and exchange of real estate referrals between members. Core features include: a. A secure platform for managing and exchanging referrals. b. Tools for tracking referral statuses and commissions.
3.2. EARN does not guarantee the outcome of referrals or the payment of commissions.
4. Membership Fees and Payment
4.1. Fees: Membership fees are payable monthly and will automatically renew at the end of each billing cycle unless canceled. Any cancellation of the membership requires a written notice of 60 days prior to the end of the current billing cycle. Membership fees are non-refundable.
4.2. Renewals: Failure to make membership payments within the specified period may result in the forfeiture of exclusive territory rights.
4.3. Adjustments: EARN reserves the right to adjust membership fees, with prior notice provided to members.
5. User Obligations and Conduct
5.1. Users are required to: a. Use the Services in a manner consistent with applicable laws and regulations. b. Avoid engaging in any fraudulent, misleading, or harmful activities. c. Provide accurate and authorized referral information only.
5.2. EARN reserves the right to suspend or terminate accounts for breaches of these Terms.
6. Confidentiality and Data Usage
6.1. Confidentiality: All information shared through the platform must be treated as confidential and used solely for professional purposes. Disclosure of such information to unauthorized parties is strictly prohibited.
6.2. Privacy: EARN’s data collection and processing practices are outlined in the Privacy Policy. By using the Services, you consent to these practices.
7. Referral and Commission Agreements
7.1. Users are independently responsible for negotiating and formalizing referral agreements.
7.2. EARN provides tools to facilitate tracking; however, the accuracy of such records is contingent upon user input. All invoicing and collection of commissions are the sole responsibility of the User and their brokerage.
7.3. Users are solely responsible for resolving any disputes related to referral commissions or agreements.
8. Intellectual Property
8.1. All content, trademarks, and materials provided on the platform are the exclusive property of EARN or its licensors.
8.2. Users are prohibited from reproducing, distributing, or modifying platform content without prior authorization.
9. Termination of Services
9.1. EARN reserves the right to suspend or terminate access to the Services in cases of: a. Violation of these Terms. b. Non-compliance with eligibility requirements. c. Conduct deemed harmful to the platform or its users.
9.2. Users may terminate their account at any time by submitting a written request to EARN support.
10. Disclaimer of Warranties
10.1. The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
11. Indemnification
11.1. Users agree to indemnify, defend, and hold harmless EARN and its affiliates from and against any claims, damages, or liabilities arising out of: a. Use of the Services. b. Violation of these Terms. c. Any unauthorized or unlawful activities.
12. Governing Law and Arbitration
12.1. These Terms shall be governed by and construed in accordance with the laws of Canada and/or any territory in which EARN operates.
12.2. Any disputes arising from these Terms shall be resolved through binding arbitration in Canada, conducted in accordance with the rules and procedures of a recognized Canadian arbitration body. The arbitration decision shall be final and binding on all parties.
13. Amendments
13.1. EARN reserves the right to modify these Terms at any time. Notice of changes will be provided through email or platform notifications. Continued use of the Services after such changes constitutes acceptance of the revised Terms.
